Declaring beneficial owners to the CNRC: who, when, how
Every legal person under Algerian law (company, association, waqf) must declare to the CNRC (National Trade Register Centre) the natural persons who own or control it: its beneficial owners. The deadline is one month after set-up, registration or any change. You declare at the local CNRC office or online on the Sidjilcom platform, with a separate form for each beneficial owner.

What this form is for
The trade register shows who the partners and manager are. But behind a partner there may be another company, and behind it other people. The beneficial owner declaration identifies the natural persons who, at the end of the chain, really own or control the company.
It is part of the fight against money laundering and terrorist financing. The information feeds the public register of beneficial owners kept by the CNRC.
Who is a beneficial owner?
- The natural person who holds, directly or indirectly, at least 20% of the capital or voting rights.
- Failing that, the person who controls the company by other means (partners' agreement, power to appoint managers, and so on).
- If nobody meets these criteria, the rules provide for the person who manages the company.
| Situation | Beneficial owners to declare |
|---|---|
| EURL with a sole partner | The sole partner (100%) |
| SARL: A 60%, B 40% | A and B (each at least 20%) |
| SARL: A 85%, five partners at 3% each | A only, unless another partner exercises control |
| SARL 50% owned by an SPA | The natural persons controlling the SPA, plus the other partners concerned |
Who must file it
The obligation covers all legal persons under Algerian law. The CNRC restated it in December 2025: commercial companies, civil companies, associations, non-profit organisations and waqfs.
- SARL, EURL, SPA, SNC and other commercial companies, from registration.
- Existing companies: they had to comply before 30 November 2024; those that did not must now regularise.
- Any company whose ownership or control changes.
The legal representative (manager, chair) signs and files the declaration on behalf of the company. The form shows their name, capacity and signature.

Where to file it
Online on Sidjilcom
The CNRC has opened an electronic platform for the declaration, reached from its Sidjilcom portal. The form can also be downloaded from the portal's documents section.

The declaration can also be made in person at the local CNRC office. For a company domiciled in Dely Brahim, that is an Algiers office.

Deadlines
One month. The declaration is due within one month of the company's set-up or registration, and again within one month of any change to the company or its beneficial owners.
| Event | Deadline |
|---|---|
| Registration of a new company | One month |
| Share transfer, partner joining or leaving | One month after the change |
| Change in control or in the manager retained | One month after the change |
| Company set up before the 2023 framework | Compliance date passed (30 November 2024): regularise now |
Common mistakes
- Declaring the parent company instead of the natural persons who control it.
- Forgetting a partner who holds exactly 20% or more.
- Filling in a single form for several beneficial owners.
- Missing the one-month deadline after registration while busy with tax formalities.
- Not declaring again after a share transfer or a new partner joining.
- Thinking an EURL is exempt: its sole partner is the beneficial owner.
Frequently asked questions
Who is a company's beneficial owner?
The natural person who holds, directly or indirectly, at least 20% of the capital or voting rights, or who controls the company by other means. If nobody meets these criteria, the person who manages the company is retained.
What is the deadline?
One month from the set-up, registration or change of the company or of its beneficial owners.
Does an EURL have to declare?
Yes. The sole partner holds 100% of the capital: they are the beneficial owner and must be declared.
Can I declare online?
Yes. The CNRC has opened an electronic platform reached from Sidjilcom. You can also declare at the local office counter.
My company existed before 2023. What should I do?
Existing legal persons had to comply before 30 November 2024. If you have not, file the declaration as soon as possible.
What is the risk of not declaring?
The Ministry of Commerce states that failures are subject to the penalties of Law 05-01 on combating money laundering. A missing declaration can also hold up banking operations.
Is there a fee?
The texts we consulted set no fee for this declaration. Check with your CNRC office when you file.
Can you fill in the forms for me?
Yes. Neuron Cowork fills it in with the company's other setup forms (trade register, G no. 8, NIS): 5,000 DA for all four. You file it yourself, online or at the office.
