Template minutes for appointing or replacing an SARL manager (Algeria)

To change the manager (gérant) of an SARL, partners vote at a general meeting to end the outgoing manager's term (resignation or removal) and to appoint the new one, by a majority of more than half of the capital unless the articles require more. The minutes are then used to update the trade register. If the manager is named in the articles, that article must also be amended: the notary tells you which form to follow.

Rules to know

An SARL is managed by one or more natural persons, partners or not, appointed in the articles or by a later decision of the partners. A company cannot be the manager of an SARL: the manager is always an individual. Both appointment and removal are collective decisions of the partners.

What to adapt in the template

  • Type of meeting: “ordinary” if the articles do not name the manager, “extraordinary” if an article must be amended.
  • Option A (resignation) or B (removal): delete the one that does not apply, in the agenda, the proceedings and the first resolution.
  • The new manager's full identity, exactly as on their ID document.
  • The effective date: the same in the first and second resolutions, so the company is never without a manager.
  • Powers and pay: refer to the relevant article of the articles or list the limits you want.
  • The votes: number of shares for, against and abstaining, resolution by resolution.

After the meeting: the formalities

  1. 1

    Sign and keep the minutes

The minutes are signed, the new manager adds their acceptance, and the original is kept in the register of resolutions.

  2. 2

    See the notary if needed

If the manager was named in the articles, the notary draws up the amending deed or records the deposit of the minutes, as the CNRC requires.

  3. 3

    Update the trade register

The change of manager is entered in the trade register through an amendment request to the CNRC. Until then, the trade register extract still shows the former manager as the company's representative.

  4. 4

    Notify the bank

The bank updates signing powers on the company account on presentation of the minutes and the amended trade register extract. Each bank has its own list of documents: ask for it.

  5. 5

Inform the tax office and social security

Report the change of legal representative to your tax office. The new manager also checks their own social security position (CASNOS for the self-employed or CNAS for employees, depending on their status).

Common mistakes

  • Removing a manager without warning or hearing them: put the removal on the agenda in the notice and give them the chance to respond. Minutes that show this reduce the risk of a dispute.
  • Forgetting the new manager's written acceptance: without it, the appointment can be challenged.
  • Leaving a gap between the old manager leaving and the new one starting: nobody can then sign for the company.
  • Not updating the trade register: third parties keep dealing with the former manager.
  • Appointing someone who may not manage (a ban or incompatibility): have them sign the declaration in the second resolution knowingly.

Frequently asked questions

What majority is needed to appoint a new manager?

The majority for ordinary decisions: one or more partners holding more than half of the share capital (Commercial Code, art. 582), unless your articles set a higher majority. If the manager is named in the articles, amending that article follows the rules for amending the articles.

Do I need a notary to change the manager?

If the manager is named in the articles, in practice yes: the articles are a notarial deed and the article naming the manager must be amended. If the manager was appointed by a separate decision, ask the CNRC and the notary what form the minutes must take before filing your request.

Can the manager resign at any time?

Yes, but with the notice period set in the articles. They send a resignation letter to the partners (a template is annexed to the document), then the meeting acknowledges the resignation and appoints a successor.

Does the new manager have to be a partner?

No. An SARL manager is a natural person, partner or not. A non-partner manager carries out the mandate given by the partners, within the limits set by the articles and the minutes.

Can an SARL have several managers?

Yes. The articles or the appointment decision then state whether each manager acts alone or whether some acts need all managers to sign. To add a manager, keep only the appointment, powers and formalities resolutions.

What happens at the CNRC?

You file a request to amend the trade register, with the minutes and the new manager's documents requested by the CNRC. Our trade register amendment page explains the procedure, so you can do it yourself.
