What the articles contain
The Commercial Code requires six items in the articles of every commercial company. The other clauses organise the company's life: who runs it, how members decide, how a new member comes in.
| Clause | Content | Type |
|---|---|---|
| Form | SARL, EURL, SPA | Required item |
| Name | The name reserved at the CNRC, followed by the form | Required item |
| Registered office | The address backed by a lease, title deed or domiciliation | Required item |
| Purpose | The activities, matching the trade register's list | Required item |
| Duration | 99 years at most | Required item |
| Share capital | Amount, number of shares, split among members | Required item |
| Contributions in kind | Description and valuation of each asset | Required if any |
| Management | The manager or managers, their powers, term of office | Organisational clause |
| Share transfers | Conditions for a new member to join | Organisational clause |
| Collective decisions | Meetings, majorities, written consultation | Organisational clause |
| Financial year and profits | Year dates, allocation of profits, reserves | Organisational clause |
| Dissolution | Grounds and winding-up | Organisational clause |
Why a notary is mandatory
A commercial company is born from an authenticated deed. The notary drafts the articles, checks the members' identity, receives the capital funds and has the deed registered. The notary can also reserve the name and publish the incorporation notice in the BOAL online. Articles signed between members without a notary do not allow registration.
From draft to trade register
- 1
Reserve the company name
The notary needs the CNRC name certificate, valid for six months.
- 2
Prepare the information
ID and birth certificate extract of each member, manager's name, purpose, capital and split of shares, registered address with its proof.
- 3
Review the notary's draft
Check the spelling of names, the purpose, the capital, the manager's powers and the share transfer rules. A mistake is easy to fix before signing, much less so after.
- 4
Sign and deposit the capital
Members sign the deed and deposit at least one fifth of their cash contributions with the notary.
- 5
Publish the BOAL notice
The incorporation notice appears in the Official Bulletin of Legal Notices. The notary can handle it online.
- 6
File with the CNRC
A copy of the articles and proof of publication go into the trade register file.
How much the articles cost
In the files we handle in Algiers in 2026, the notary's articles cost about 30,000 DA. The amount varies with the capital. Ask the notary for a detailed quote: drafting, registration, BOAL notice. A notarised power of attorney, if someone files on your behalf, costs about 8,000 DA.
The purpose clause, the one that most often blocks
- Start from the entries in the trade register's list of activities: the CNRC registers coded activities.
- Be precise: a vague or very broad purpose can cause problems at filing.
- Spot regulated activities: they need a licence before registration.
- Think about the next two or three years: adding an activity later means amending the articles and the trade register entry.
Our articles templates
Our EURL and SARL articles templates help you prepare your choices before meeting the notary: split of shares, management, transfers, financial year. They do not replace the notarial deed: only the notary draws up the final articles.
Amending the articles
Changing the registered office, manager, activity or capital, or bringing in a member, means amending the articles. The path looks like the formation path.
- Members' decision, taken under the majority rules of the Commercial Code and your articles. In an EURL, the sole member decides alone.
- Amending deed drawn up by the notary.
- Publication of the amendment in the BOAL.
- Update of the trade register entry at the CNRC, with a copy of the amended articles and the fee receipt.
- Update with the tax office and other bodies when the change concerns them, for example the office or the manager.
