When must you move your registered office?
The registered office is the company's official address: the law makes it the company's domicile. You must move it as soon as the current address is no longer right or no longer proven.
- You are leaving rented premises, or the premises are being sold.
- Your domiciliation contract is ending and you are changing provider.
- You are moving from a temporary domiciliation (with a professional or at the manager's residence) to a stable address.
- You want an address that is more convenient for clients, staff or paperwork.
The deadline: one month
The deadline runs from the change itself. In practice, prepare everything beforehand: find the new address, gather the documents, book the notary. You can then file at the CNRC without rushing.
The six steps of the move
- 1
Secure the new address
Sign the lease, deed or domiciliation contract in the company's name. At Neuron Cowork, the domiciliation contract is notarised and ready within 3 days at most, with the manager's ID and birth certificate.
- 2
Have the move decided
In an SARL (limited liability company), the partners meet in an extraordinary general meeting and vote on the move, by the majority set by the Commercial Code and your articles. In an EURL (single-member company), the sole partner decides alone. In an SPA (joint-stock company), amending the articles is a matter for the shareholders' extraordinary general meeting. The decision is recorded in minutes.
- 3
Amend the articles at the notary's office
A company's articles of association are a notarial deed, so amending them is too. The notary draws up the amending deed that replaces the old address with the new one.
- 4
Publish the amendment
The amending deed is published in the Official Bulletin of Legal Notices (BOAL) and in a national daily newspaper. You add copies of both to the CNRC file.
- 5
File the amendment at the CNRC
File the amendment at the CNRC branch. You receive a commercial register extract showing the new address.
- 6
Update the tax office, social funds and your documents
With the new extract, report the new address to the tax office that manages the company, then to CASNOS (social security fund for the self-employed), to CNAS (employees' social insurance fund) if you have staff, to your bank, clients and suppliers. Change your stamp, invoices and website.
Documents for the CNRC amendment file
The Ministry of Commerce lists the following documents for a commercial register amendment after a move of registered office. Check the current list with the CNRC branch before filing.
Who does what
| Step | Where | Document obtained |
|---|---|---|
| New address | Landlord, owner or domiciliation centre | Lease, deed or domiciliation contract |
| Decision | Partners' meeting, or sole partner | Minutes of the decision |
| Articles | Notary | Deed amending the articles |
| Legal notice | BOAL and national newspaper | Published notices |
| Commercial register | CNRC branch | New commercial register extract |
| Tax and social security | Tax office, CASNOS, CNAS | Files updated with the new address |
What about taxes?
The registered office address decides which tax office manages the company. If the new address falls under the same office, you simply report the change. If it falls under another office, your tax file changes hands: ask your current tax office how to proceed and keep a copy of every letter you file.
Moving to a domiciliation address
You do not need premises if your business does not require them: services, consulting, IT, construction work done on site, export. A domiciliation gives you a registered office address without renting an office. For retail or workshop production, premises are still required.
At Neuron Cowork in Dely Brahim, domiciliation costs 6,000 DA a month for a notarised contract of 1 year or 2 years. The contract is ready within 3 days at most: you have it in hand before the partners meet and before you see the notary.
A move to another municipality or another wilaya (province) follows the same steps. The competent CNRC branch and tax office may change: check before filing.
Two ways to get it done
This guide is all you need to do it yourself. Neuron does not do bookkeeping or routine tax and social returns; we can, however, provide your registered address.
