The registered office of a foreign-owned company
The partners' nationality does not create a separate rule for the registered office. A subsidiary or a SARL with foreign partners is a company under Algerian law: its articles set its registered office, and that office is its legal domicile. The Commercial Code also places every company that operates in Algeria under Algerian law.
Neuron signs the domiciliation contract before a notary, in the company's name. This contract supports the registered office address that the notary writes into the articles and that you then declare to the trade register.
Three common situations
| Situation | Who signs the articles | What to watch |
|---|---|---|
| Subsidiary set up by a foreign company | The foreign company's representative, with a power of attorney | Parent company documents: articles, registration, decision to create the subsidiary, signatory's authority |
| SARL or EURL with foreign partners | Each partner, in person or through an agent holding a special power of attorney | Passports, powers of attorney, the 51/49 rule if the activity is covered |
| Company set up by an Algerian living abroad | The partner, in person or by power of attorney | In the two 51/49 cases, the law requires resident national partners |
What changes compared with ordinary domiciliation
1. Documents issued abroad
A public document issued outside Algeria (parent company articles, power of attorney, birth certificate, criminal record) receives an apostille if it comes from a country party to the 1961 Hague Convention, which Algeria joined by Presidential Decree 25-217 of 4 August 2025. Otherwise it goes through legalisation. It is then translated into Arabic before it reaches the notary. Our guide to the apostille and legalisation covers the exceptions. The notary who will draft the articles gives you their list: ask for it before you spend anything abroad.
2. The 51/49 rule, in two cases only
Article 50 was rewritten by the finance laws for 2022 and 2025. It now covers industries linked to the military industries, railways, ports and airports, pharmaceutical industries (with exceptions) and fertiliser production. Outside these cases and imports for resale, a foreign company can own 100% of its subsidiary.
3. The foreign manager's professional card
The foreign manager of a commercial company must hold a professional card. They apply to the regulation and general affairs directorate (DRAG) of the wilaya (province) where they live or where the registered office is, and the wali (governor) of the registered office's wilaya issues the card. For a company domiciled at Neuron in Dely Brahim, that is the wilaya of Algiers.
The cardholder must then apply for a residence card within 90 days. Article 13 of the decree exempts foreign officers of commercial companies who do not live in Algeria.
4. Capital, the bank and the AAPI
Bring foreign currency contributions in through a bank in Algeria and keep every transfer record. Law 22-18 on investment grants the guarantee to transfer capital and income out of Algeria to cash contributions imported through the banking system, and Executive Decree 22-300 sets a threshold: the share of financing from abroad must reach 25% of the total investment cost. Below it, the investment keeps its incentives but loses the transfer guarantee.
Registration with the Algerian Investment Promotion Agency (AAPI) takes place before the investment is made, to obtain the incentives provided by law. A foreign investment registers with the one-stop shop for major projects and foreign investment. Neither Law 22-18 nor Executive Decree 22-299 makes it a condition for entering the company in the trade register. It works the other way round: you can only use the incentives once the company is registered and has a NIF (tax identification number).
Liaison offices and branches: a different framework
This page covers companies under Algerian law. A foreign business can also open a liaison office or a branch, which follow their own texts. For a liaison office, the order of 9 November 2015 requires a lease or a title proving the premises exist for the whole approval period, which is two years. Our guide compares the three forms.
Domiciling at Neuron, step by step
- 1
Check the activity
Note the activity code you plan to use and check whether it falls under the 51/49 rule or is regulated. Send it to us on WhatsApp before signing: we will tell you whether domiciliation suits that activity.
- 2
Reserve the company name
The domiciliation contract bears the company's name, so first obtain the name certificate from the CNRC.
- 3
Start on the foreign documents
Ask the notary for the list, have the documents apostilled or legalised in the country that issued them, then have them translated into Arabic.
- 4
Sign the domiciliation contract
Send the manager's ID (a passport for a foreigner) and birth certificate. The notarised contract is ready within 3 days at most.
- 5
Sign the articles of association
The notary writes the Dely Brahim address into the articles as the registered office.
- 6
Register the company
File with the CNRC, then submit the beneficial owner declaration.
- 7
Apply for the professional card
For a foreign manager, with the wilaya of Algiers, where the registered office is.
- 8
Open the account and pay in the capital
Funds from abroad go through the bank, and you keep the records.
