Setting up a SARL or EURL: the checklist, desk by desk

To set up a SARL or EURL (limited company), you go in this order to the landlord or domiciliation centre, the CNRC for the name, the notary, the CNRC again for registration, the stamp maker, the tax office, CASNOS, the ONS and the bank, then CNAS if you hire. For each desk, this list gives the documents to bring and the document you take away, which the next step almost always asks for. In our experience, the whole process takes 4 to 5 weeks.

Print this page or send it on WhatsApp with the share button, then tick each document once it is in your file. You can also tick the boxes on screen; nothing is saved. Keep every receipt and certificate, as an original and a copy: the next desk almost always asks for them.

Before the first desk: three decisions

  • The legal form: EURL if you are on your own, SARL for 2 to 50 partners. Write down the manager's name.
  • The activity: its exact wording in the trade register nomenclature. If it is regulated, get the licence or approval before registration.
  • The share capital: you choose the amount. At least one fifth of the cash contributions is paid in at the start, the rest within five years of registration.

1. The head office: landlord or domiciliation

The CNRC (National Trade Register Centre) requires proof of the head office address: a lease, a title deed or a notarised domiciliation contract. The notary needs it for the articles. For a domiciliation contract at Neuron in Dely Brahim, bring:

2 documents0 / 2

You leave with: the notarised domiciliation contract, for 1 or 2 years, ready within 3 days at most, at 6,000 DA a month. Check the address before you sign: it will be copied onto your trade register extract.

2. CNRC: reserve the company name

You propose up to four names, in order of preference, at the local CNRC office or online on Sidjilcom. Run a prior-use search on Sidjilcom first, so you do not propose names that are already taken.

4 documents0 / 4

You leave with: the name certificate, valid for 6 months. If the company is not registered and the reservation is not extended within that time, the name becomes free again.

3. Notary: articles, capital and BOAL notice

A SARL or EURL is formed by an authentic deed, so the notary draws up the articles of association. Bring:

7 documents0 / 7

You leave with: the articles in authentic form, in two copies (the CNRC asks for two), and the incorporation notice published in the BOAL (Official Bulletin of Legal Notices). The notary drafts the notice in Arabic and French and can publish it online.

4. CNRC: register the company

You file at the CNRC office of the wilaya (province) where the head office is, or online through the notary.

10 documents0 / 10

You leave with: the trade register extract. Registration gives the company legal personality; before it, the company does not exist in law. In our experience, the extract arrives 10 to 15 days after the file is lodged.

Within one month: beneficial owners

The company declares to the CNRC the individuals who control it or hold at least 20% of its capital or voting rights, within one month of its creation. You can hand in the form with the registration file, or fill it in online on Sidjilcom.

5 documents0 / 5

5. Stamp maker: the company stamp

Have the round stamp made as soon as you receive the trade register extract. Form G n°8 is filed stamped and signed, and the bank often asks for it with the manager's specimen signature.

2 documents0 / 2

You leave with: the round stamp. Check the proof letter by letter before it is made.

6. Tax office: NIF and declaration of existence (G n°8)

You enter the NIF (tax identification number) request on nifenligne.mf.gov.dz, which issues an acknowledgement, then complete it at the tax office for the head office, together with form G n°8. The G n°8 is due within 30 days of starting the activity. Filing late brings a 30,000 DA tax fine.

11 documents0 / 11

You leave with: the document showing your NIF, a tax reference number and the certificate of existence. Make copies: CASNOS, the ONS, the bank and CNAS ask for them.

7. CASNOS: enrol the manager

The non-salaried manager (sole partner of an EURL, majority manager of a SARL) enrols with CASNOS, the social security fund for non-salaried workers, within 10 days of starting the activity: the date on the trade register extract starts that period. Go after the G n°8, without waiting for the NIS. You apply online on Damancom or at the CASNOS office for your place of business. A salaried manager comes under CNAS.

5 documents0 / 5

You leave with: the manager's enrolment. The yearly contribution is 15% of the contribution base, with a minimum of 43,200 DA a year in 2026. In a company, each person concerned has their own number and pays their own contribution.

8. ONS: the NIS

The ONS (National Office of Statistics) issues the NIS (statistical identification number). The bank and CNAS ask for it afterwards.

9 documents0 / 9

You leave with: the identification notice showing the NIS.

9. Bank: the company account

You open the account after registration, usually once you have the NIF and the NIS. Each bank sets its own list: ask for it before your appointment. The usual documents:

9 documents0 / 9

You leave with: the RIB (bank account details). The notary hands the capital funds to the manager, who pays them into this account.

10. CNAS: only if you hire

From the first employee, declare your activity as an employer to the CNAS (social insurance fund for employees) office of the wilaya within 10 days of hiring. Each employee is then enrolled within 10 days of being hired.

11 documents0 / 11

You leave with: your employer number and your declared employees. Contributions come to 34.5% of the contributory wage.

Do it yourself or get help

This list is enough to handle the file yourself. We can also fill in the company's 4 setup forms (beneficial owners, trade register, G no. 8, NIS) for 5,000 DA while you do the filing. Or we follow the whole file, from the name to CASNOS: 60,000 DA for a company, 50,000 DA if it is domiciled at Neuron, excluding official fees. From abroad, it is 80,000 DA, or 70,000 DA with domiciliation at Neuron.

Frequently asked questions

In what order do I go to the desks?

Head office, name at the CNRC, notary, registration at the CNRC, then the tax office, CASNOS, ONS and the bank, plus CNAS if you hire. Each body asks for the document issued at the previous step: skip one and you go back to the counter.

How long does it all take?

In our experience, 10 to 15 days for the trade register and 4 to 5 weeks for the complete file. These are estimates: each body sets its own processing time.

Which deadlines should I watch?

The name certificate is valid for 6 months. After registration: G n°8 in the first week (30 days at most from the start of the activity), CASNOS within 10 days, beneficial owners within one month. If you hire, CNAS within 10 days. The rest of the capital is paid in within 5 years.

How do I keep this list at hand?

Print the page, or send it on WhatsApp with the share button, to yourself or to a partner. You can also tick the boxes on screen; nothing is saved.

Can Neuron handle the file?

Yes, in two ways. We fill in the company's 4 setup forms (beneficial owners, trade register, G no. 8, NIS) for 5,000 DA and you file them yourself. Or we follow the whole file: 60,000 DA for a company, 50,000 DA if it is domiciled at Neuron, excluding official fees.
